These General B2B Sales Terms and Conditions apply to business orders placed with Mongolian Magic.

Article 2. Application of these terms
These terms apply to all business orders, offers, deliveries, invoices, collaborations and agreements between Mongolian Magic and business customers.
Business customers include, among others, shops, concept stores, world shops, wellness shops, online shops, salons, practices, studios, resellers and other professional buyers.
By placing a business order, accepting an offer, paying an invoice or receiving products from Mongolian Magic, the customer accepts these terms.
Any deviations from these terms are only valid if Mongolian Magic has confirmed them in writing.
Article 3. Business customers
The B2B area, wholesale prices and business terms of Mongolian Magic are intended exclusively for business customers.
Mongolian Magic may request business details, such as company name, Chamber of Commerce number, VAT identification number, website, business address or other information showing that the customer is acting in a business capacity.
Mongolian Magic may reject a business application, account or order if the customer does not fit the business terms, sales channels or brand identity of Mongolian Magic.
Article 4. Products and natural materials
Mongolian Magic sells natural products made from Mongolian wool and other animal fibres, including socks, gloves, mittens, hats, scarves, plaids, slippers, sheepskins and related products.
Many products are made from natural, undyed materials. As a result, small differences in colour, structure, fibre, thickness, size, finish and appearance may occur.
These natural differences are part of the character of the product and are not automatically considered a defect.
Mongolian Magic makes every effort to present product information, material details, sizes, colours and photos as clearly as possible. Minor differences between photos and actual products may occur.
Article 5. Offers and orders
All quotations from Mongolian Magic are without obligation, unless stated otherwise in writing.
An order is final once it has been placed and paid for via the online shop or B2B portal, or once Mongolian Magic has confirmed the order in writing.
Mongolian Magic may reject or amend an order if products are not in stock, are no longer available, have been incorrectly priced or if there are doubts about payment, resale or the appropriate use of the brand.
If a product turns out to be unavailable after the order has been placed, Mongolian Magic will contact the customer. Mongolian Magic may then offer a replacement product, issue a credit or refund the amount paid for the unavailable product.
Article 6. No minimum order value
No minimum order value applies to business orders, unless otherwise agreed in writing.
The customer may therefore also place smaller business orders.
Mongolian Magic may apply a minimum purchase quantity per product, size, colour, packaging unit or collection if this is clearly stated with the product, in the price list, in the offer or in the ordering environment.
Article 7. Prices
All B2B prices are exclusive of VAT, unless stated otherwise.
The prices in the online shop, B2B portal, offer, price list or order confirmation apply to the relevant order.
Mongolian Magic may change its prices. Price changes do not apply to orders that have already been placed and paid for, unless there is an obvious error.
In the event of an obvious pricing error, for example a technical error or input error, Mongolian Magic is not obliged to deliver at the incorrect price.
Article 8. Recommended retail prices
Mongolian Magic may provide recommended retail prices for products.
These recommended retail prices are non binding.
The business customer determines the final selling price to consumers independently.
Mongolian Magic may, however, provide recommendations regarding positioning, margin, presentation and price level that fit the brand and the products.
Article 9. Payment via the online shop or B2B portal
Orders placed via the online shop or B2B portal must be paid in full and immediately at the time of placing the order, using the payment methods offered.
The order will only be processed after successful receipt of payment.
As long as an order has not been paid in full, Mongolian Magic is not obliged to process, reserve or ship the order.
Article 10. Invoice
After receipt of payment, the customer will receive an invoice for their administration.
The invoice will be sent by email or made available via the online shop or B2B portal.
The customer is responsible for correctly entering the company name, billing address, VAT identification number, email address and other administrative details.
If the customer provides incorrect information, Mongolian Magic may send a corrected invoice. However, Mongolian Magic is not liable for consequences arising from incorrect information provided by the customer.
Article 11. Orders outside the online shop or B2B portal
In some cases, orders may also be placed by email, by telephone, through an offer or in another written agreed manner.
For orders outside the online shop or B2B portal, the payment arrangements confirmed in writing apply.
Mongolian Magic may require full or partial advance payment for such orders.
An order outside the online shop or B2B portal is only final after Mongolian Magic has confirmed it in writing.
Article 12. Delivery
Delivery takes place to the delivery address provided by the customer.
Delivery times are indicative, unless a fixed delivery date has been expressly agreed upon in writing.
Mongolian Magic makes every effort to ship orders carefully and on time, but is not liable for delays caused by shipping providers, customs, stock discrepancies, force majeure or circumstances outside its control.
If an order cannot be delivered in full, Mongolian Magic may ship the order in partial deliveries. The customer will be informed of this.
Article 13. Shipping costs
Business customers benefit from a reduced shipping rate of €6.99 per order for standard delivery within the Netherlands. Standard delivery within the Netherlands is free for orders of €500 or more, excluding VAT.
For international shipments, shipping costs are calculated automatically during checkout.
Shipping costs depend on factors including the delivery address, destination country, weight, volume, selected shipping method and any special transport requirements. The applicable shipping costs are shown during checkout, in the quotation or in the order confirmation.
Voor spoedleveringen, grote of zware pakketten, afwijkende bezorgadressen of andere bijzondere transportwensen kunnen aanvullende verzendkosten van toepassing zijn. Indien dit het geval is, wordt de klant hiervan vooraf op de hoogte gebracht. Indien na het plaatsen van de bestelling aanvullende transportkosten blijken te gelden, behoudt Mongolian Magic zich het recht voor deze afzonderlijk aan de klant te factureren. De klant wordt hiervan zo spoedig mogelijk op de hoogte gebracht.
Article 14.
Conditions for Free Shipping
For orders with a value of €500 or more, excluding VAT, standard shipping within the Netherlands is free of charge, as stipulated in Article 13.
Free shipping applies exclusively to standard parcel deliveries to a single standard delivery address within the Netherlands.
Additional charges may apply for express deliveries, large or heavy shipments, pallet transport, non standard delivery addresses, special transport requirements or other supplementary shipping services. The customer will be informed of these charges in advance. Where additional transport costs only become known after the order has been placed, Mongolian Magic will inform the customer as soon as possible.
Shipping outside the Netherlands does not automatically qualify for free shipping. Free international shipping applies only when explicitly offered in advance by Mongolian Magic or agreed upon with the customer in writing.
Temporary promotions, quotations and individual written agreements may deviate from the standard shipping terms.
Article 15. Inspection upon receipt
The customer must inspect the delivery immediately upon receipt for quantities, visible damage, incorrect products, incorrect sizes, incorrect colours and missing components.
Visible defects or delivery errors must be reported in writing within 5 working days after receipt.
The report must include clear photos, order information and a description of the problem.
Hidden defects must be reported in writing within 5 working days after discovery.
If the customer does not report the problem on time, the delivery is deemed to have been received correctly and completely.
Article 16. Defects, errors and complaints
If there is a demonstrable defect or incorrect delivery caused by Mongolian Magic, Mongolian Magic will, at its own discretion, provide replacement, repair, credit or refund for the relevant product.
Complaints do not entitle the customer to suspend payment of other products or invoices.
Normal wear and tear, incorrect use, incorrect washing, intensive friction, damage caused by shoes, moths, moisture, storage issues or incorrect care are not covered by warranty.
If a complaint is justified and the issue was caused by Mongolian Magic, Mongolian Magic will bear the reasonable costs of return or replacement.
Article 17. Natural wool products and use
The customer acknowledges that products made from natural wool and animal fibres react differently from synthetic products.
Natural wool may fluff, felt, shrink, pill or wear out in case of incorrect use, intensive friction, high temperatures, incorrect washing or unsuitable storage.
Products made from 100% or mostly natural wool are comfort products and not technical sports products, unless stated otherwise in writing.
The customer is responsible for correctly informing the end customer about use, care and washing instructions.
Article 18. Returns of business customer orders
Business orders cannot be returned without prior written consent.
Returns are only accepted if Mongolian Magic has given prior written approval.
The products must be unused, clean, undamaged, complete and provided with original labels and packaging.
Return costs are borne by the customer, unless the return is based on a demonstrable error by Mongolian Magic.
Mongolian Magic may refuse returns if the products are used, damaged, dirty, incomplete, incorrectly packed or unsellable.
Article 19. Unsold goods
Mongolian Magic is not obliged to take back unsold goods.
If Mongolian Magic voluntarily offers a return arrangement, this arrangement must be confirmed in writing in advance.
A written return arrangement will specify the products, quantities, value, return period, condition of the products and form of reimbursement.
Reimbursement may take place as a credit note, offset against a future order or payment, depending on what has been agreed in writing.
Article 20. Retention of title
All delivered products remain the property of Mongolian Magic until the customer has fully paid all outstanding amounts.
As long as the products have not been fully paid for, the customer may not pledge the products, transfer them as security or use them in a way that affects the ownership rights of Mongolian Magic.
If the customer does not pay, Mongolian Magic may reclaim the delivered products.
Article 21. Resale and sales channels
The customer may sell products from Mongolian Magic through their own physical store, their own online shop or other sales channels known in advance.
Sales through marketplaces, discount platforms, outlet channels, auction sites or platforms that do not fit the image of Mongolian Magic are only allowed with written consent from Mongolian Magic.
The customer may not sell products from Mongolian Magic as their own brand, private label or under another brand name without written consent.
Mongolian Magic may terminate the cooperation if products are sold through channels that may harm the brand.
Article 22. Brand presentation
The customer presents the products in a neat, careful and brand appropriate manner that fits the natural and high quality image of Mongolian Magic.
The customer ensures that the products are clean, dry, properly labelled and clearly visible.
The customer may not present products in a way that is misleading, careless, damaging or harmful to the image of Mongolian Magic.
Mongolian Magic may provide recommendations regarding product presentation, displays, photography, product information and sales communication.
Article 23. Use of photos, texts and brand name
Photos, product texts, brand stories, logos, videos and other materials from Mongolian Magic remain the property of Mongolian Magic.
The customer may use photos and texts provided by Mongolian Magic for the sale of purchased Mongolian Magic products, as long as this is done in a neat, correct and brand appropriate manner.
The customer may not alter, use misleadingly or use for other products the brand name, photos, texts and logos.
After termination of the cooperation, the customer must stop using image material, texts and logos at the request of Mongolian Magic.
Article 24. Product information, labels and care instructions
Mongolian Magic supplies products as much as possible with correct product labels, material information and, where applicable, care instructions.
The customer may not remove, change or replace labels, bands, cards or product information without written consent from Mongolian Magic.
If the customer sells products outside the Netherlands, the customer is responsible for checking whether additional local language, labelling or sales information is required.
The customer may not make false statements about the composition, origin, effect, sustainability, medical benefits or certifications of the products.
Article 25. Sustainability and product claims
Mongolian Magic communicates carefully about natural wool, undyed materials, Mongolian origin and artisanal elements.
The customer may use this information, but may not add exaggerated, medical, unsupported or misleading claims.
Terms such as healing, medically proven, fully hypoallergenic, guaranteed sustainable or similar claims may only be used if there is written and verifiable support for them.
Article 26. Liability
Mongolian Magic is only liable for direct damage that demonstrably results from a breach of duty by Mongolian Magic.
The liability of Mongolian Magic is limited to the invoice amount of the relevant order or the relevant product to which the damage relates.
Mongolian Magic is not liable for indirect damage, consequential damage, loss of turnover, loss of profit, reputational damage, missed sales, stock losses or damage caused by incorrect use, incorrect storage or incorrect sales information provided by the customer.
This limitation does not apply if liability may not be limited by law.
Article 27. Force majeure
Mongolian Magic is not liable if it cannot fulfil its obligations, or cannot fulfil them on time, due to force majeure.
Force majeure includes, among other things, delays at suppliers, transport problems, customs problems, import problems, export problems, natural disasters, strikes, illness, fire, war, power outages, internet outages, stock problems at suppliers and other circumstances outside the reasonable control of Mongolian Magic.
In the event of force majeure, Mongolian Magic may postpone delivery or cancel the agreement in whole or in part without being liable for damages.
Article 28. Termination of the cooperation
Mongolian Magic may terminate the cooperation with a business customer if the customer fails to comply with agreements.
This includes, among other things, late payment, incorrect product presentation, damage to the brand, misleading statements, unwanted sales channels, resale under another brand or other behaviour that does not fit the cooperation.
Outstanding amounts always remain due.
After termination, the customer may sell already paid remaining stock, unless otherwise agreed in writing or unless there is brand damage, misleading conduct or unlawful use.
Article 29. Confidentiality
Price lists, margins, discount agreements, purchase conditions, customer agreements and other business information of Mongolian Magic are confidential.
The customer may not share this information with third parties without written consent from Mongolian Magic.
This obligation remains in force after termination of the cooperation.
Article 30. Applicable law and disputes
All agreements, offers, invoices, deliveries and collaborations with Mongolian Magic are governed by Dutch law.
Disputes will first be discussed in mutual consultation.
If no solution is reached, the dispute will be submitted to the competent court in the Netherlands.
Article 31. Changes to these terms
Mongolian Magic may change these terms.
The latest version applies to new orders from the moment it has been communicated to the customer, published or made available via the website, online shop or B2B portal.
For orders that have already been placed and paid for, the terms that applied at the time of the order remain applicable.
Article 32. Final provision
If any provision of these terms is invalid or unenforceable, the remaining provisions will remain valid.
The invalid provision will be replaced by a provision that comes as close as possible to the purpose of the original provision.
By placing a business order, the customer declares that they have read and agree to these General B2B Sales Terms and Conditions of Mongolian Magic.
